The 35-year-old is the oldest player since Stanley Matthews to win the accolade, and the first Englishman since Alan Shearer in 1994 to come out on top from the poll collated from football writers across the country.
Arsenal star Patrick Vieira finished third, with another midfielder, Keane, in fourth position.
"It is an honour to receive this award, bearing in mind the illustrious names who have won it in previous years," commented Sheringham.
"Although I'm very down and disappointed at the moment, after going out of Europe on Wednesday night, this is a very special personal highlight in my career.
"I'd like to thank my team-mates for all their help and support this season.
"This is an award for the club as much as myself."
FWA chairman Paul McCarthy added: "Teddy's scoring feats for United have been magnificent, he has got vital goals at vital times of the season and has proven an essential component for both his club and country."
